1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between WaypointQR LLC ("WaypointQR") and you ("Customer") governing your access to and use of the WaypointQR platform and services (the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. You must be at least 18 years of age.

These Terms are supplemented by our Privacy Policy , Cookie Policy , and any applicable Data Processing Agreement .

2. Description of Service

WaypointQR provides governed QR redirect infrastructure for agencies and businesses. The Service includes:

  • Generation and management of dynamic QR codes ("Waypoints")
  • Configurable redirect rules and routing logic
  • Scan analytics and reporting
  • Brand kit management and customization
  • Workspace and team collaboration features
  • API access for programmatic management

3. Account Registration

You must register for an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to use the Service to:

  • Redirect to illegal, harmful, or malicious content
  • Engage in phishing, fraud, or deceptive practices
  • Generate spam or unsolicited communications
  • Attempt to circumvent security measures or rate limits
  • Resell or redistribute the Service without authorization
  • Violate any applicable law or regulation

We reserve the right to suspend or terminate accounts that violate these terms.

5. Subscriptions and Billing

Paid plans are billed monthly or annually. Prices are listed at waypointqr.com/pricing . We reserve the right to change pricing with 30 days' notice. You may cancel at any time; service continues through the end of the current billing period.

We offer a 14-day free trial for Professional and Business plans. No credit card required to start.

6. Intellectual Property

You retain ownership of content you upload (brand assets, redirect URLs). WaypointQR retains ownership of the platform, software, and underlying technology. You grant us a limited license to process your content solely to provide the Service.

7. Service Level

We strive for high availability but do not guarantee uninterrupted service. Business plan customers receive a 99.9% monthly uptime SLA. Enterprise customers receive a 99.99% SLA with service credits for downtime. See pricing for details.

8. Limitation of Liability

To the maximum extent permitted by law, WaypointQR shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.

9. Termination

You may terminate at any time. We may terminate for violation of these Terms or prolonged inactivity (12+ months). Upon termination, your data is retained for 90 days, then permanently deleted.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes shall be resolved in the courts of Delaware.
